3. Fees and Payment

Service fees are based on the scope of work and detailed in a separate written proposal or agreement. Unless otherwise agreed, payment terms are net 30 days from the date of invoice. We may require an upfront retainer for certain projects.

4. Intellectual Property

All materials, reports, diagrams, and deliverables provided by Warehouse Whisper remain our intellectual property unless explicitly transferred by written agreement. Upon full payment, you are granted a non-exclusive license to use such materials internally. Ownership transfer, if applicable, must be agreed to in writing.

5. Termination

Either party may terminate these Terms at any time with written notice. We reserve the right to terminate Services for cause, including but not limited to breach of these Terms or failure to pay invoices. Upon termination:

  • You will be invoiced for all work completed to date

  • We will return any of your proprietary information in our possession

6. Disclaimer

Our Services are provided “as is” without warranties of any kind, express or implied. We do not guarantee specific outcomes from the use of our consulting advice or website content.

7. Limitation of Liability

To the maximum extent permitted by law, Warehouse Whisper shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of your use of our Services or Website.

8. Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information disclosed during the course of our engagement, unless otherwise required by law.

9. Force Majeure

We are not liable for delays or failure to perform due to causes beyond our reasonable control, including natural disasters, war, labor disputes, or internet outages.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.
